内部統制システムに関する基本的な考え方
事業活動が有効かつ効率的に行われ、財務報告の信頼性を確保し、コンプライアンスを重視した経営をするための内部統制システムは、SRSグループの経営目標・戦略の達成だけでなく、SRSグループの企業価値や競争力の向上に必要不可欠なしくみであると認識しています。
業務の適正を確保するために必要な内部統制システムの整備に関しては取締役会で決議しています。さらに2017年に新設したコーポレートガバナンス統括部を中心に、その実効性をより高め、システムの充実を図っていきます。
コンプライアンス
The SRS Group has established a Compliance Committee as an organization to oversee all compliance. In addition to complying with laws and regulations and the Articles of Incorporation, we have also established an Executive Code of Ethics and an Employee Code to enhance the effectiveness of compliance with the Corporate Ethics Charter, which was established based on the SRS Group's philosophy and management principles, and to establish this as part of our corporate culture. We are working to ensure that these are thoroughly understood by issuing manuals and providing guidance in various training sessions. We have also set up a helpline (consultation desk) to facilitate the early detection and resolution of problems.
The Corporate Governance Management Department, established in 2017, will oversee the Compliance Committee's secretariat and the helpline, thereby promoting the collection of information and aiming for faster responses. Our management principles are shared with group companies as well, and we are making similar efforts.
リスクマネジメント
SRSグループは、分野ごとに発生する可能性のあるリスクの抽出に努め、想定されるリスクについては各社社内規定に則った部門責任者が自律的に管理しています。とりわけ重要なコンプライアンス、品質保証、環境保全などについては委員会を設置し、全社横断的な管理体制を構築しています。
